General terms and conditions

1Introduction

These terms govern the basis of the business relationship between quadmed AG and its clients, if and to the extent that no differing individual agreement has been made.

2Subject matter of the contract

quadmed AG acts for the client as an insurance broker. The subject matter of the contract is the mediation of insurance contracts as well as their servicing and administration. Existing insurance contracts are terminated after consultation with the client.

3Services provided by quadmed AG

3.1The service provided by quadmed AG comprises exclusively the mediation of the insurance contracts requested in each case, as well as their servicing and administration. The servicing and administration of further insurance contracts of the client only forms part of the engagement if quadmed AG has confirmed this in writing.

3.2quadmed AG is not under a contractual obligation to conduct insurance distribution business exclusively with one or more insurance undertakings, and does not base its advice on a balanced and personal analysis. quadmed AG may conduct, and does conduct, its insurance business with the following insurance undertaking: Squarelife Insurance AG, Landstrasse 33, P.O. Box 503, 9491 Ruggell, Liechtenstein. quadmed AG also points this out in its initial information and in the advice record.

3.3Should quadmed AG conduct insurance business with further insurance undertakings in future, it will amend the information pursuant to Art. 38 VersVertG (Liechtenstein Insurance Distribution Act) accordingly and provide it to the client again in good time before an insurance contract is concluded.

3.4Changes in risk notified by the client may lead to an adjustment of the insurance cover, which is arranged by quadmed AG. A regular review of the client's risk situation by quadmed AG does not form part of the engagement.

3.5In the event of a claim, quadmed AG supports the client in its settlement, including the negotiations with the insurer.

4The client's duties to cooperate

4.1Upon request, the client will disclose to quadmed AG all information and documents required for the performance of the services and activities to be provided by quadmed AG, in a timely manner, correct in content and complete. Facts which are known to the client and which are recognisably relevant for the client to the assessment of the risk or the conclusion of the insurance will be communicated by the client to quadmed AG without being asked.

4.2Where the particular features of the risk make an inspection necessary, the client will make it possible and, if required, take part in it.

4.3The client will inform quadmed AG immediately and unprompted of all changes relevant to the cover of the risk, in particular changes of address, changes of occupation, activity abroad and increases in risk.

4.4Insofar as the insurance contract provides for obligations on the part of the policyholder, the client is responsible for complying with those obligations, for implementing protective recommendations and for observing the deadlines applying vis-à-vis the insurer. Failure to comply with those obligations — in particular the duty to describe the risk truthfully and to pay the premium — failure to observe protective recommendations and missed deadlines may release the insurer from its obligation to pay.

4.5The client will notify quadmed AG or the respective insurer of any claim without delay, so that the insurer's cut-off periods are not missed.

5Remuneration

quadmed AG receives a brokerage commission in the customary amount, depending on the premium. The commission has already been taken into account by the insurer in the premium calculation as part of its acquisition, conclusion and administration costs and is paid with the premium. In addition, quadmed AG receives other remuneration from the insurer in the form of economic benefits, the amount of which depends in part on the business performance of the products mediated. The client incurs no additional costs by engaging quadmed AG.

6Liability

6.1quadmed AG will perform the agreed services with the care of a diligent insurance broker. quadmed AG is liable only for damage arising from a culpable breach of these duties of care.

6.2quadmed AG is liable without limitation in accordance with the statutory provisions where the client asserts claims for damages based on intent or gross negligence, including intent or gross negligence on the part of the legal representatives and vicarious agents of quadmed AG.

6.3quadmed AG is not liable for the consequences of any inadequate insurance cover arising from contracts not mediated by quadmed AG.

6.4Claims for damages on account of a slightly negligent breach of duty become time-barred three years from the point at which the client became aware, or should have become aware without gross negligence, of the circumstances giving rise to the claim and of the identity of the party liable, but at the latest five years after the termination of this contract.

7Data protection

7.1quadmed AG collects, stores and uses personal data exclusively for the mediation, servicing and administration of the insurance contracts. quadmed AG passes this data on only within the scope of the purpose of this engagement.

7.2We may pass personal data on to third parties where contracts are offered by us jointly with a third-party provider and the third party has a legitimate interest in doing so. In individual cases these parties process your personal data in order to conduct direct marketing. You have the right to object at any time to processing for the purposes of such advertising. This also applies to profiling insofar as it is connected with such direct marketing.

7.3Should we use external service providers to process your data, we will select them carefully, engage them in writing, bind them to our instructions and monitor them regularly. The service providers will not pass this data on to third parties.

7.4Otherwise we will not pass personal data on to uninvolved third parties unless we are entitled or obliged to disclose data on the basis of statutory provisions and/or official or judicial orders. This may concern in particular the provision of information for the purposes of criminal prosecution, for the prevention of danger or for the enforcement of intellectual property rights.

8Place of jurisdiction / applicable law

8.1The place of jurisdiction for all claims arising from this contract is the Principality of Liechtenstein, provided the client is an entrepreneur.

8.2The contractual relationship between the client and quadmed AG is governed by the law of the state in which the client has their habitual residence. The law specified in the respective insurance conditions applies to the insurance contract mediated; these terms and conditions govern exclusively the relationship between the client and quadmed AG.

9Final provisions

Amendments or additions to the contractual relationship must be made in writing. This also applies to the amendment or cancellation of this written-form clause.

10Further information

10.1quadmed AG is an insurance broker with its registered office in Ruggell (Industriering 14, FL-9491 Ruggell). quadmed AG holds an authorisation from the Finanzmarktaufsicht Liechtenstein (Liechtenstein Financial Market Authority, FMA), Landstrasse 109, Postfach 279, 9490 Vaduz, Liechtenstein, and is entered in the FMA's register of insurance intermediaries under number 209920.

10.2quadmed AG holds no direct or indirect participation of 10 % or more in the voting rights or in the capital of an insurance undertaking. Squarelife Holding AG, the parent company of Squarelife Insurance AG, holds all shares (100 % of the voting rights and of the capital) in quadmed AG; quadmed AG and Squarelife Insurance AG are sister companies within the same group.

10.3Complaints may be addressed to the management of quadmed AG at any time free of charge. Complaints about insurance intermediaries pursuant to Art. 74 VersVertG are received by the Finanzmarktaufsicht Liechtenstein, Landstrasse 109, Postfach 279, 9490 Vaduz, Liechtenstein. For the settlement of disputes between clients and insurance distributors concerning the services provided, the out-of-court arbitration board is competent pursuant to Art. 75 VersVertG in conjunction with the Finanzdienstleistungs-Schlichtungsstellen-Verordnung (FSV — Financial Services Arbitration Boards Ordinance): Aussergerichtliche Schlichtungsstelle, Landstrasse 123, Postfach 343, 9495 Triesen, www.schlichtungsstelle.li. Recourse to the ordinary courts remains unaffected.
